Terms and Conditions
These Terms and Conditions govern the use of the Viginti Digital website, services, software, platforms, subscriptions, partnerships, affiliate programs, and any related offerings provided by Viginti Digital. By accessing this website, signing up for any service, purchasing any package, entering into any partnership or affiliate relationship, or engaging Viginti Digital in any capacity, you agree to be bound by these Terms and Conditions in full.
If you do not agree to these Terms and Conditions, you must not use our website or services.
1. Acceptance of Terms
By signing up for any Viginti Digital service, package, subscription, platform access, partnership, affiliate agreement, or by making any payment to Viginti Digital, you confirm that you have read, understood, and agreed to these Terms and Conditions. These Terms apply to all users, clients, subscribers, partners, affiliates, and customers without exception.
All services provided by Viginti Digital are subject to these Terms regardless of whether a separate proposal, invoice, contract, or agreement exists.
2. Services Provided
Viginti Digital provides digital services including but not limited to marketing services, consulting, software platforms, automation systems, CRM access, AI systems, integrations, development work, subscriptions, affiliate programs, partner programs, and digital products.
The scope, pricing, and deliverables of services are defined at the time of purchase, onboarding, or agreement. Viginti Digital reserves the right to update, modify, suspend, or discontinue any service at its discretion.
3. Payments and Billing
All prices are quoted in the applicable currency unless otherwise stated.
By purchasing any service or package, you authorize Viginti Digital to charge the agreed amount using the selected payment method.
All payments made to Viginti Digital are final, non refundable, and non transferable. This includes but is not limited to setup fees, subscription fees, retainers, development fees, consulting fees, partner fees, and one time payments.
No refunds, chargebacks, or reversals will be issued under any circumstances, including dissatisfaction, change of mind, unused services, partial use, or early termination.
4. Subscription Services
Certain services may be offered on a recurring subscription basis. By subscribing, you agree to recurring billing at the stated interval until cancelled in accordance with Viginti Digital’s cancellation process.
Cancellation does not entitle the client to any refund for prior or current billing periods.
5. Non Payment and Termination
Failure to make payment by the due date constitutes a material breach of these Terms. Viginti Digital reserves the right to immediately suspend or terminate access to services, platforms, automations, accounts, and deliverables without notice.
Viginti Digital reserves the right to terminate or refuse service to any client, partner, or affiliate at its sole discretion for valid reasons, including but not limited to reputational risk, unethical conduct, misuse of systems, breach of agreement, or suspected illegal activity.
6. Client Responsibilities and Legal Compliance
Clients are solely responsible for how they use the systems, websites, platforms, automations, and AI tools built or configured by Viginti Digital.
Viginti Digital builds and configures systems based on client direction. If a client engages in illegal activity, regulatory violations, misleading practices, or any unlawful conduct using systems built by Viginti Digital, the client assumes full and exclusive liability.
Viginti Digital is not liable for any lawsuits, regulatory penalties, investigations, or damages arising from a client’s business operations or misuse of services.
Viginti Digital reserves the right to cooperate fully with law enforcement, regulatory bodies, and legal authorities in the event of any investigation or legal proceedings involving a client. Protecting the integrity of Viginti Digital and its other clients is paramount.
7. Intellectual Property
All materials, proprietary systems, software frameworks, AI engines, processes, templates, and strategies developed or provided by Viginti Digital remain the property of Viginti Digital unless otherwise agreed in writing.
Clients own the specific configurations, data, workflows, content, and business assets created specifically for their organization, subject to payment completion.
Clients may not copy, resell, distribute, reverse engineer, or reproduce Viginti Digital proprietary systems without written consent.
8. Partners
Partner packages, pricing structures, and offerings are custom, private, and confidential. Partners agree not to disclose proprietary pricing, structures, frameworks, or commercial terms.
Viginti Digital reserves the right to modify partner terms, compensation structures, and program details at any time.
Viginti Digital may terminate any partnership at its discretion for reputational risk, ethical concerns, breach of confidentiality, misrepresentation, or conduct that may harm the company.
9. Affiliates
Affiliate commissions, payout percentages, and structures are subject to change at any time. Affiliate participation may require a separate agreement.
Viginti Digital reserves the right to suspend, withhold commissions, or terminate affiliate accounts for valid reasons including fraud, misrepresentation, reputational damage, spam, regulatory violations, or any activity deemed harmful to the brand.
Affiliate participation does not create a partnership, joint venture, employment, or agency relationship.
10. Limitation of Liability
All services are provided on an as is and as available basis.
To the fullest extent permitted by law, Viginti Digital shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising from use of services, platforms, software, AI systems, or website content.
11. No Guarantees
Viginti Digital does not guarantee specific outcomes, revenue, rankings, conversions, or performance results. Any examples or projections are illustrative only.
12. Confidentiality
Both parties agree to maintain confidentiality of non public information shared during service delivery. Partner packages, proprietary frameworks, AI infrastructure, and internal systems are confidential and protected.
13. Modifications to Terms
Viginti Digital reserves the right to update or modify these Terms at any time. Continued use of services constitutes acceptance of updated Terms.
14. Governing Law
These Terms are governed by and construed in accordance with the laws applicable to Viginti Digital’s registered jurisdiction in South Africa.
15. Mediation and Jurisdiction
Any disputes, complaints, or legal claims arising from this Privacy Policy must first be submitted to mediation before any formal legal action may proceed.
